OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. PRIZE ACCEPTANCE RELEASE OF LIABILITY AND PUBLICITY RELEASE MAY BE REQUIRED. VOID WHERE PROHIBITED BY LAW. ONLINE ENTRY ONLY AND INTERNET CONNECTION REQUIRED.

1. Description of Sweepstakes: The Channel One "17 Again" Sweepstakes ("Sweepstakes") begins on or about 9:00 a.m. Eastern Time ("ET") on March 30, 2009, and ends at 6:00 p.m. ET on April 17, 2009 ("Sweepstakes Period"). The Website's database clock will be the official time keeper for this Sweepstakes. Channel One, LLC, located at 151 West 26th Street New York, NY 10001 ("Channel One") is the sponsor and the administrator of the Sweepstakes ("Sponsor") and is responsible for the fulfillment of the Grand Prize (defined below). New Line Productions, Inc. ("New Line"), Warner Brothers Entertainment, Inc. ("Warner"), and each of their parents, affiliates and subsidiaries, are not responsible for the promotion, administration or execution of this Sweepstakes. Entrants should look solely to Sponsor with any questions, comments or problems related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. How to Enter: To enter the Sweepstakes, complete the official registration form located at www.channelone.com ("Website"). You must complete the entry form with all required information for the entry to be eligible, including your first and last name, mailing address, date of birth, telephone number and email address. Your personally identifiable information will not be used for marketing purposes unless you consent. Giving of such consent will not increase your chances of winning. After you submit your entry, you will receive one (1) entry into the Sweepstakes. You may enter as many times as you wish but there is a limit of one (1) prize per household. Entries may be disqualified if they contain any inappropriate material or language, including profanity. Any use of robotic, automatic, macro, programmed or like entry methods is prohibited and any entrant using such methods may be disqualified. Any attempt by any person to attain more than the stated number of entries by using multiple/different e-mail accounts, names, ages, addresses, or any other methods, may void all of that person's entries and that person may be disqualified. Entries that are late, illegible, incomplete, unreadable, damaged, destroyed, delayed, lost tampered with, incomprehensible, forged, mutilated, misdirected, inaccurate, unintelligible or otherwise not in compliance with these Official Rules may be disqualified. All entries become the property of Sponsor and none will be acknowledged or returned. For purposes of these Official Rules, ?receipt? of an online entry occurs when the Sponsor's server receives the entrant's first entry form. Any automated computer receipt (such as a "thank you" message or one confirming delivery of entry) does not constitute proof of actual receipt by Sponsor of an entry for purposes of these Official Rules.

3. Eligibility: The Sweepstakes is only open to legal residents of the forty-eight (48) contiguous United States and District of Columbia (Void in Alaska, Hawaii, Puerto Rico, Guam, U.S. Virgin Islands and U.S. Territories), who are at least thirteen (13) years of age or older at the time of entry. Employees of Sponsor, New Line, Warner, and each of their immediate family members (parent, child, spouse, sibling) and/or household members (whether legally related or not), and any of their respective parents, subsidiaries, affiliated or related entities, directors, officers, or advertising and promotional agencies, participating radio stations, distributors, printers, or prize suppliers, and anyone involved in this Sweepstake's production, development or handling (the "Sweepstakes Entities"), are each not eligible. This Sweepstakes is subject to all federal, state and local laws and regulations. Void where restricted or prohibited by law. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules, he or she may be disqualified in Sponsor's sole discretion, and an alternate prize winner may then, in Sponsor's sole discretion, be randomly selected from all remaining eligible entries.

4. Privacy: Except as otherwise provided in the Official Rules, you agree to Sponsor's use of your personal information as described in its Privacy Statement at http://channelone/home/privacystatement/. Among other uses, Sponsor may disclose any personal information it collects from you in connection with this Sweepstakes to third parties if you have so consented. Such consent is not required and will not increase your chances of winning.

5. Winner Selection: The winner of the Sweepstakes will be selected in a random drawing from among all eligible entries on or about April 17, 2009 to be conducted by Sponsor's designated representatives. The potential winner shall be notified by email or telephone (in Sponsor's sole discretion), and must accept the prize within three (3) business days of notification by either email or telephone. Any winner notification not responded to, or returned as undeliverable, may result in prize forfeiture and an alternate winner may be selected. Notification is deemed to have occurred immediately upon placing of a phone call or sending of an e-mail. Sponsor is not obligated to leave voice mail, answering machine or other message. The Sweepstakes Entities are not responsible for and shall not be liable for late, misdirected or unsuccessful efforts to notify potential winners or for any late, misdirected, or if the potential winner is a minor, for late, misdirected, or unsuccessful efforts of potential winner to provide signed parental or guardian consent.

The potential prize winner and, if the potential prize winner is under the age of the majority in their state of residence (which is eighteen (18) in most states but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi), the potential prize winner's parent or guardian, may (in Sponsor's sole discretion) be required to sign and return an affidavit of eligibility, release of liability and prize acceptance agreement ("Prize Acceptance Release of Liability and Publicity Release") within fourteen (14) days after the first (1st) delivery attempt to entrants e-mail address in order for the potential prize winner to be qualified for the prize. The potential prize winner's failure to return all required forms within this time period may result in the potential winner being disqualified and an alternate winner may be selected from all remaining eligible entries. If, for any reason, more bona fide winners come forward seeking to claim the Grand Prize, the winner may be selected in a random drawing from among all persons making purportedly valid claims for the Grand Prize. Inclusion in such drawing shall be each entrant's sole and exclusive remedy under such circumstances. No more than the advertised number of prizes will be awarded.

6. Name; Likeness: Except where prohibited by law, each potential winner (and parent/legal guardian if potential winner is a minor) grants (and agrees to confirm in writing) permission to Sponsor, its advertising and promotional agencies, and those acting under its authority, to use such winner's name, biographical information, picture, photograph, voice and/or likeness, for advertising, trade, promotion and/or publicity purposes, in any and all media now known or hereafter discovered, in perpetuity, worldwide, without notice, review, approval, or additional compensation.

7. Grand Prize: One (1) "Grand Prize" will be awarded in this Sweepstakes. The Grand Prize consists of a private screening of the movie "17 Again" for up to fifty (50) friends of the winner's choice. Location of the theater and date/time of the screening will be determined by Sponsor, in its sole discretion. Conditions and restrictions may apply. The total approximate retail value ("ARV") of the Grand Prize is Four Hundred and Fifty Dollars ($450.00) (USD). The actual retail value of the Grand Prize will depend on where the winner resides and the number of actual guests. The difference between the ARV and actual value of the Grand Prize will not be awarded. Sponsor will not replace any lost or stolen tickets or certificates. If, for whatever reason, the production or distribution of ?17 Again? is cancelled or delayed after the Grand Prize is ticketed, no compensation will be paid in lieu of any cancelled showing of the motion picture. Winner and guests are solely responsible for all other expenses not specifically set forth herein, including, but not limited to, concession items at the theatre, and transportation to and from the screening. Guests of the Grand Prize winner must be thirteen (13) years of age or older to attend the screening. No one under the age of thirteen (13) will be permitted to attend the screening under any circumstances. No transfer, assignment, cash redemption or substitution of the Grand Prize is permitted except by Sponsor its sole and absolute discretion due to prize availability and then with prize of equal or greater value.

By entering this Sweepstakes and accepting the Grand Prize, the Grand Prize winner and his or her guests agree to maintain his/her behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any Sweepstakes-related activity. The Grand Prize winner understands and agrees that Sponsor has the right, in its sole discretion, to disqualify and remove the Grand Prize winner or his/her guests from any activity at any time if the Grand Prize winner's or his/her guests' behavior at any point is disruptive or may or does cause damage to person, property, or the reputation of the Sweepstakes Entities (defined below) or otherwise violates the policies of the prize providers.

8. Odds: Odds of winning will depend on the total number of entries received.

9. Release Of Liability/General Conditions: By entering the Sweepstakes, each entrant agrees: (i) to be bound by these Official Rules and by all applicable laws and decisions of Sponsor, which shall be binding and final in all matters relating to the Sweepstakes; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of his/her rights to bring any claim, action, or proceeding against any of the Sweepstakes Entities in connection with the Sweepstakes; and (iv) to release, indemnify, and hold harmless Sponsor, New Line and Warner, and their respective officers, directors, employees, agents, shareholders, representatives, successors and assigns (collectively the ?Sweepstakes Entities?), from and against any liability whatsoever for any and all claims, costs, losses, or damages of any kind, including, without limitation, those related to defamation, libel, slander, invasion of privacy, infringement of publicity or any intellectual property rights, any property loss, damage, personal injury, bodily injury, death, expense, accident, delay, inconvenience or irregularity, and any indirect, incidental, consequential, special, punitive or exemplary damages of any kind, costs and expenses (including, without limitation, reasonable outside attorneys' fees) that may arise in connection with: (a) the Sweepstakes, including, but not limited to, any Sweepstakes-related activity or element thereof, and the entrant's entry, participation or inability to participate in the Sweepstakes, (b) the violation of any third party privacy, personal, publicity or proprietary rights, (c) typographical errors in these Official Rules or any Sweepstakes promotional materials, (d) acceptance, attendance at, participation in, possession, defects in, use, misuse or inability to use the Grand Prize (or any component thereof), (e) any change in the prizing (or any components thereof) due to unavailability, business or creative considerations, or due to reasons beyond Sponsor's control, including, but not limited to, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond any of the Sweepstakes Entities' control, or as otherwise permitted in these Official Rules, (f) any interruptions in or postponement, cancellation, or modification of the Sweepstakes and/or Premiere, (g) human error, (h) any late, lost, stolen, mutilated, misdirected, illegible, delayed, garbled, corrupted, destroyed, incomplete, undeliverable or damaged Entries, (i) any wrongful, negligent, or unauthorized act or omission on the part of any of the Sweepstakes Entities, or any of their agents or employees, or (j) lost, late, stolen, misdirected, damaged or destroyed prizing (or any element thereof). The Sweepstakes Entities have neither made nor are in any manner responsible or liable for any express or implied warranty, representation or guarantee, express or implied, in fact or in law, relative to the Grand Prize or any component thereof.

The Sweepstakes Entities are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error, which may occur in the processing of submissions in the Sweepstakes. The Sweepstakes Entities assume no responsibility for any misdirected or lost mail, or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to entrant's or to any website or combination thereof, including injury or damage to entrant's or any other person's computer related to or resulting from participating downloading materials in the Sweepstakes. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, or if the Sweepstakes (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these Official Rules, or if tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsor's sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Sweepstakes or the granting of the any prize or any component thereof, Sponsor reserves the right, in its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend the Sweepstakes or any portion thereof. If the Sweepstakes is cancelled, and to the extent possible as determined by Sponsor, Sponsor may conduct a random drawing to select a new entrant from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation, and to award the prize (or any awardable portion(s) thereof). In the event that, that Sponsor determines that there are no eligible entrants, Sponsor reserves the right in its sole discretion to not award the any prize (or any portion thereof). In the event of a dispute concerning who registered online to participate in the Sweepstakes, the registration will be declared to have been made by the authorized account holder of the email address submitted at the time of registration. The authorized account holder is defined as the natural person who is assigned to an email address by an internet provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. A potential winner may be requested to provide the Sweepstakes Entities with proof that the potential winner is the authorized account holder of the email address. If a dispute cannot be resolved to the Sweepstakes Entities' satisfaction, the entry will be deemed ineligible. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Governing Law/Jurisdiction: The Sweepstakes and these Official Rules are governed by and shall be construed in accordance with the substantive laws of the State of New York (as distinguished from the choice of law rules) and the United States of America applicable to contracts made and performed entirely in New York and where the relevant contacts are with such state. All applicable federal, state, and local laws and regulations apply. Except where prohibited, as a condition of participating in this Sweepstakes, each entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, the prize awarded, or the determination of the winner shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-pocket expenses, and entrant further waives all rights to have damages multiplied or increased. Each entrant understands and agrees that he/she shall have no right to enjoin or restrain the development, production, advertising, promotion, distribution or exploitation of the Sweepstakes, the "17 Again" picture, or any other movie, production or project of Sponsor, Warner or any of their parents, subsidiaries or affiliates.

11. Dispute Resolution: The parties agree that any disputes arising out of these Official Rules shall be submitted to final, binding arbitration conducted in New York County under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. ("JAMS") before a single, neutral arbitrator who is a former or retired New York state or federal court judge with experience in entertainment matters who shall follow New York law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in New York County, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Sponsor shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of New York County. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in New York County.

12. Miscellaneous: The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The invalidity or unenforceability of any provision of these Official Rules or any Prize Acceptance Release of Liability and Publicity Release will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Prize Acceptance Release of Liability and Publicity Release documents are determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. For entrants, to the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on the Website, these Official Rules control.

13. Winner's List and Official Rules: To obtain a mailed copy of the name of the Grand Prize winner (available after June 1, 2009) and/or of the Official Rules, send a self-addressed and stamped (#10) envelope to: Channel One "17 Again" Sweepstakes, 151 West 26th Street New York, NY 10001. Requests must be received no later than October 1, 2009 for the name of the Grand Prize winner, and no later than April 17, 2009 for a copy of the Official Rules.
