THERE ARE SPECIAL RULES REGARDING GETTING PERMISSION TO USE PEOPLE AND CONTENT IN ANY VIDEO SUBMISSION AND AGREEING TO BE FILMED AND INTERVIEWED IF YOU ARE AWARDED THE GRAND PRIZE. ALL ENTRANTS SHOULD GET THE PERMISSION OF THEIR PARENTS OR LEGAL GUARDIANS TO ENTER THIS CONTEST.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. MANY WILL ENTER, FEW WILL WIN. CONTEST ENTRY PERIOD BEGINS OCTOBER 9, 2007 AT 12:00 A.M. EASTERN TIME AND ENDS JANUARY 31, 2008 AT 11:59 A.M. EASTERN TIME.

Sponsor: Channel One Network ("Sponsor") is the sponsor and the administrator of the Contest and is responsible for the collection, submission or processing of entries or the overall administration of the Contest. Sponsor is responsible for judging the entries for determination of the Grand Prize and Semi-finalist winners and the fulfillment of the Contest prizes and school awards. Entrants should look solely to Sponsor at 151 W 26th Street, New York, NY 10001 ("Contest Address") with any questions, comments or problems related to the Contest.

1. How To Enter: You may enter the contest as part of a Group (see below) only by visiting channelone.com and submitting the required essay and video. The uploading of Contest videos is processed by SchoolTube. To enter the Contest and upload a video, the designated Group representative must first be a registered member of SchoolTube. There is no charge to become a member of SchoolTube and you may register at the time you are prepared to upload the video. Through on-screen instructions you will be asked to provide information during the registration process including your name and grade, team members names and grades, school principal's name, school name, your phone number including area code and address, your email address, school advisor/teacher helping you with the project and their phone number and age confirmation. If no member of the Group is able to submit the Group's video because they are under 13 years of age, then the designated Channel One school advisor/teacher may submit and upload the video on behalf of the members of the Group.

Preparing Your the Entry: You and up to four schoolmates (the "Group") must together write a 500-word essay about a problem or issue that the group has identified in your school or community and what the group did to resolve it. The group must also provide a video documenting the problem and the resolution. The video must be not more than three (3) minutes in length, must be in one of the following digital file formats: wmv, mov, avi, mpg, or mpeg4 and be able to be capable of being displayed on the internet. The Group should try to present the technically best video possible, but the technical quality of the video will not be considered by the judges.

Approval of Entry: No entry will be accepted for the Contest unless first approved by the school's designated Channel One advisor and Sponsor, whose decisions shall be final in all respects.

VERY IMPORTANT! READ CAREFULLY. Limitations and Restrictions:

The entry essay and videos (a) must be recorded and edited by members of the Group with very limited parental or faculty assistance, as determined in the sole opinion of the Contest judges, (b) may not contain music or content not created by the Group unless permission of the owner is given in writing and (c) in the case of videos, must be able to pass legal review by the Sponsor and the company transmitting the video. By entering this Contest, each member of a Group consents to the display of the Contest entry (that is, the essay, video, the Group member names, likenesses and biographical information), in whole or in part, in any and all media, including on the internet, throughout the world and with no time limit.

As a condition of eligibility and to be determined a semi-finalist, video entries must be approved by Sponsor's programming transmitter for display on the website and for programming transmission pursuant to its transmission and programming standards and requirements.. This would require, among other things, securing all necessary permissions and clearances required prior to display or transmission. Entrants are required to secure all permissions and consents for the content of videos and other portions of the entries. Sponsor and Sponsor's programming transmitter reserve the right to edit, alter, make deletions and otherwise change a video submission to satisfy any and all program transmitter, legal and/or Contest requirements. If a video or balance of the entry is not able to be displayed for any reason, then the entry will be disqualified.

Entrants can only submit one essay and one video as a Group for consideration. Additional entries will be disregarded. Members of one Group cannot be members of another Group or otherwise assist another Group with their entry. All entries become the exclusive property of Sponsor and will not be returned.

2. Eligibility: This Contest open to legal residents of the 48 contiguous United States and the District of Columbia who are (a) currently enrolled in a Channel One Network member school and (b) are 11 to 18 years of age as of October 9, 2007. Void in Alaska, Hawaii, Puerto Rico, Guam, the U.S. Virgin Islands, and where prohibited by law. Employees (and such employees' immediate family or household members) of Sponsor, SchoolTube, and their parents, affiliates, subsidiaries, prize suppliers, printers, distributors, advertising and promotional agencies are not eligible to participate in the Contest.

3. Privacy: By entering the Contest, you agree to (a) Sponsor's use of your personal information as described in its Privacy Policy at www.channelone.com and (2) SchoolTube's use of your personal information as described in its Privacy Policy at www.schooltube.com and accessible from the Contest website.

4. Winner Selection: All eligible entries will be judged on the whole (essay and video together) based on the following judging criteria: 25% Uniqueness of the problem or social issue, 25% Uniqueness of the resolution, 25% Clarity of statement, and 25% Overall quality of entry. Judging will be conducted by Sponsor designated judges whose decisions are final and may not be appealed. The judges shall not consider any "Viewers' Choice" results (described below) in their determination. The judges will select a total of ten (10) entries as semi-finalists for posting on the Contest site for viewing by Contest site visitors and for the separate "Viewers' Choice" promotion below. Of the ten semi-finalist, the judges will select a potential Grand Prize winner and four (4) runners-up. VERY IMPORTANT!-- As a condition to be award the Grand Prize, each Group member must agree to cooperate and appear on Sponsor designated interviews, filming and photo shoots in connection with the Contest and post-Contest promotions for no additional compensation.

5. Viewers' Choice: As a separate promotion activity and not subject to judging, "Viewers' Choice" recognition will be acknowledged. Any visitor to the Contest site may view and rate the semi-finalists on a scale of 1-5 with 5 being the highest point on the scale. Such voting will be used to determine the winner of the Viewers' Choice award. The semi-finalist entry garnering the most voting points will be declared the "Viewers' Choice" and such winning Group's school will be awarded the "Viewers' Choice Prize". All semi-finalists are eligible to be declared a "Viewers' Choice" winner regardless of whether such semi-finalists are declared a Grand prize winner or runner-up. In the event of a tie for a Viewers' Choice prize, a panel of judges selected by Sponsor will determine the Viewer's Choice winner based on the judging criteria in section 4-- "Winner Selection".

6. Prizes: One (1) Grand Prize-- Each member of the Group whose entry is judged to be the Contest Grand Prize winner will receive a mini digital video camcorder, make and model to be determined by Sponsor. Approximate Retail Value ("ARV") $200 each. In addition, Sponsor will make a separate $5,000 grant to the Grand Prize winning group's school. Acceptance of this grant is at the discretion of the school.

Additionally, the winning Group may have the opportunity to participate in a learning experience opportunity through a internship program to be conducted by Sponsor to gain knowledge and insight covering different aspects of Sponsor's programming, such as opportunities to engage with the Sponsor's producers and reporters and opportunity to contribute to broadcasts. The ability to conduct the internship program is subject to all applicable state and local laws and regulations as well as those of the applicable school and local school authorities. All activities are subject to adjustment, addition and deletion as well as duration and scheduling changes at the Sponsor's sole discretion. The internship program is not an offer of employment. Due to expected variances in laws and regulations, there is no monetary value attributed to this element of the Contest prize.

Four (4) Runners-up Prizes-- Each member of each groups whose entry is judged to be a Contest Runner-Up Prize winner will receive a will receive a mini digital video camcorder, make and model to be determined by Sponsor. Approximate Retail Value ("ARV") $200 each. In addition, Sponsor will make a separate $1,000 grant to each Runners-up Prize winning group's school. Acceptance of this grant is at the discretion of the school.

TOTAL APPROXIMATE RETAIL VALUE OF ALL PRIZES: $5,000 depending on the number of mini digital video camcorders awarded.

The ARV of the Prizes represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of a prize turns out to be less than the stated ARV, the difference will not be awarded in cash.

Viewers' Choice Prize Award-- Sponsor will make a $500 grant to the Viewers' Choice winning Group's school. Acceptance of this grant is at the discretion of the school.


7. General Conditions: Sponsor reserves the right to substitute the prize, or portion of the prize for another prize of equal or greater value. All federal, state and local laws and regulations apply. The Contest is not to be used in connection with any form of gambling. Prize will only be awarded and/or delivered to addresses within the United States. All taxes, fees, and surcharges are the sole responsibility of the Winner. Failure to comply with the Official Rules in all respects will result in disqualification and forfeiture of the prize, if awarded. If the Contest prize is forfeited, the prize will be awarded to the entrant with the next best entry as determined by the judges in their sole discretion utilizing the judging criteria of the Contest. If a Viewers' Choice prize is forfeited, then Sponsor shall have the rights to choose another winner garnering the next highest number of votes. Except where prohibited by law, each winner or entrant (or each winner's or entrant’s parent or guardian, if the winner or entrant is under the age of majority in his/her state of residence) grants (and agrees to confirm that grant in writing) permission for Sponsor, its advertising and promotional agencies, and those acting under its authority to use such winner's or entrant’s contest entry, name, photograph, voice and/or likeness, for advertising, product branding, journalistic and/or publicity purposes in all media and product now known or hereafter discovered, worldwide and on the world wide web, without notice, review, approval, or additional compensation in connection with Sponsor's exploitation of the entry. Sponsor shall have the right to request or secure any and all additional documentation required to perfect the foregoing and to permit the utilization of the Contest entries as contemplated by these Official Rules. Entrants further agree that Sponsor and their respective parents, subsidiaries and affiliated companies, advertising and promotion agencies, suppliers, printers, distributors, and respective officers, directors, employees, representatives and agents or each and any other person or entity related in any way to the Contest (together the "Contest Entities") will have no liability whatsoever for, and shall be held harmless by parents and legal guardians, against, any and all liability for injuries, loss or damage of any kind to persons, including death, or property damage resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize, participation in this promotion, or while traveling to, preparing for or participating in any prize-related activity. The Contest Entities expressly disclaim any responsibility or liability for injury or loss to any person or property in connection with the development or preparation of entries or the delivery and/or subsequent use of the prizes awarded. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations apply. Sponsor will not replace any lost or stolen prize items. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. In addition, any dispute relating to the Contest (including these Official Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in the City and County of New York. Entrants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction they may have.


8. Conduct: By entering the Contest, entrants agree to be bound by these Official Rules. The Official Rules will be posted at the Contest Site throughout the Contest. Entrant's and their parents or legal guardians further agree to be bound by the decisions of the judges, which are final and binding in all respects. Sponsor reserves the right at its sole discretion to disqualify any individual, and the related Group, if applicable, it finds to be tampering with the entry process or the operations to any of the Contest or any website; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY DELIBERATE ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF ANY OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.


9. Limitation of Liability: Sponsor is not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error, which may occur in the processing of submissions in the Contest. Sponsor assumes no responsibility for any misdirected or lost mail, or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to entrant's or any other person's computer related to or resulting from participating downloading materials in the Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, then Sponsor reserves the right at their sole discretion to cancel, terminate, modify or suspend the Contest.


10. Winner's List: To obtain a mailed copy of the name of the winners by mail or a copy of the Official Rules by mail, send the applicable request and a self-addressed stamped (Vermont residents may omit postage to receive the names of winners), #10 envelope to Channel One Network/Take Action One Cup at the Contest Address. Request must be received no later than June 2, 2008.
