Channel One's The Karate Kid (Remake) Mentor Award Contest

Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING.

1. Promotion Description. Channel One's The Karate Kid (Remake) Mentor Award Contest ("Contest") nomination period commences April 19, 2010 at 9:00 AM Eastern Time ("ET") and ends on April 30, 2010 at 12:00 PM (noon) ET ("Nomination Period"). During the Nomination Period, teachers and faculty members employed during the Nomination Period at a Channel One member school, as set forth below in Section 3 ? Eligibility, may visit www.channelone.com (the "Contest Site") and nominate one or more students enrolled in and in good standing in their school during the Nomination Period to be considered for Channel One's The Karate Kid (Remake) Mentor Award. All nominations must be submitted by the end of the Nomination Period to be considered. Channel One's database clock will be the official time keeper for this Contest.

2. Sponsor and Administrator. Channel One, LLC ("Sponsor") is the sponsor of the Contest and is responsible for the collection, submission or processing of nominations and the execution, fulfillment and overall administration of the Contest. Participants should look solely to Sponsor with any questions, comments or problems related to the Contest. By participating in the Contest and/or accepting a prize, each Nominator, Winner and Honoree (as those terms are defined below) has unconditionally accepted and agreed to comply with and abide by these Official Rules and the decisions of the Contest officials, which shall be final and binding in all respects.

3. Eligibility. Nominators may only be teachers and faculty members who are legal US residents of the forty-eight (48) contiguous United States and D.C., are at least 18 years of age at the time of nomination and employed at Channel One Network member schools at the time of nomination. Nominated students ("Nominees") may only be students who are legal US residents of the forty-eight (48) contiguous United States and DC who are 11 to 18 years of age at the time of Nominator's nomination, and are currently enrolled in and in good standing in such Nominator's school during the Nomination Period. The Contest is void in Alaska, Hawaii, Puerto Rico, Guam, The U.S. Virgin Islands, other U.S. territories and possessions and wherever prohibited by law. Employees (and such employees' immediate family (spouse, and parent, child, sibling and their respective spouses, regardless of where they reside) or household members, whether or not related) of Sponsor, Columbia TriStar Marketing Group, Inc. and their respective parents, affiliates, subsidiaries, prize suppliers, printers, distributors, advertising and promotional agencies (collectively, the "Contest Entities") are not eligible to be Nominators nor Nominees.

4. Submittal of Entries. To submit an entry ("Entry") for a Nominee into the Contest, visit the Contest Site. Through on-screen instructions Nominators will be asked to provide information during the Entry process including Nominator's first and last name, email address, the Channel One member school name, Nominator's full mailing address and date of birth. When prompted by online instructions, insert ONLY the first and last name of the Nominee and insert an essay in the Entry text box in 250 words or less stating what mentoring and leadership activities the Nominee has and is undertaking in the school and community that makes the Nominee an exceptional student with high and effective mentoring capabilities. Some examples that may be addressed (and not intended to be an exhaustive or limiting list) are: tutoring younger students; forming a club or organization dedicated to global causes; peer problem resolution or arbitration; is a Big Brother or Big Sister or involved in similar community efforts. For purposes of clarification, in no event shall Nominator include in the Entry the personally identifiable information of the Nominee such as mailing address, telephone number, email address and date of birth.

All Entries must be received by the end of the Nomination Period. Nominator may submit more than one (1) Nominee for nomination, but each must be a separate Entry. Once made, an Entry may not be withdrawn, except as determined by Sponsor in its sole discretion. All Entries belong to the Sponsor and shall not be returned.

5. Acceptance and Consideration of Nominations. Entries will be reviewed and judged by a panel of Sponsor's impartial Contest judges utilizing the following criteria in equal amounts: (a) Mentoring ability, (b) Quality of mentoring activities and (c) Academic progress and ability (the "Judging Criteria"). During the Contest and at any other time thereafter as solely determined by the Contest officials and judges, Contest officials shall have the right to secure and utilize other sources of information about a Nominee other than as submitted by a Nominator and shall have the right to contact the Nominee's school to confirm submitted information contained in the Entry, to provide further information and for such other Contest-related business as the Contest officials determine. Any such contact is for informational purposes only and is not, nor should be inferred to be, indicative that any such contact will result in a Nominee receiving the Award, title or of any other benefit of the Contest. The Contest judges shall select one (1) student for the Award and four (4) other nominated students as Contest honorable mention recipients (each an "Honoree"). Sponsor reserves the right to select fewer than five (5) nominated students if, in its sole discretion, an insufficient number of eligible and qualified nominations are submitted and cleared

6. Privacy. Personal information provided by Nominators in connection with this Contest will be used solely to contact such Nominators, potential Winner and/or potential Honorees and will not be shared with any third parties, except as required by law or for purposes of fulfilling the prizing hereunder.

7. Award and Honors:

The Award ? One (1) Winner selected by the Contest judges will be awarded the title of Channel One's The Karate Kid (Remake) Mentor for the academic year ending in 2010 and a certificate reflecting such title ("Award"). There is no monetary value attributable to the Award. In addition to the Award, the Winner will receive an autograph jacket signed by one or more cast members of the film "The Karate Kid (Remake)" (approximate retail value: US $50.00 The Winner shall have the right to utlilize the Award, title and jacket solely for personal, non-commercial, identification purposes and shall not be permitted to utilize the Award, jacket and title for any other purpose, including, without limitation, endorsements, without the written consent of Columbia TriStar Marketing Group, Inc., which may be withheld or granted in such party's sole absolute discretion. Without limiting the rights of the Contest Entities, Sponsor shall have the right to feature the Winner's name, likeness, biography, statements, voice and/or the Nomination in, and the Winner agrees to be featured in, a presentation to the Winner of the Award at the Winner's school (subject to the school's consent and the consent of the Winner's parent or legal guardian) as well as profiling the Winner and/or the Award presentation on Channel One network telecasts and on the Contest Site (subject to the school's consent and the consent of the Winner's parent or legal guardian).

The Honorable Mentions ? Four (4) Honorees selected by the Contest judges shall receive a Channel One's The Karate Kid (Remake) Mentor Honorable Mention award in connection with the Contest for the academic year ending in 2010. Each Honoree shall have the right to utilize the honorable mention title solely for personal, non-commercial, identification purposes and shall not be permitted to utilize the title for any other purpose, including, without limitation, endorsements, without the written consent of Columbia TriStar Marketing Group, Inc., which may be withheld or granted in such party's sole absolute discretion. Without limiting the rights of the Contest Entities, Sponsor shall have the right to feature the Honoree's name, likeness, biography, statements, voice and/or the Nomination in, and each Honoree agrees to be featured in, mentions and profiles of the Honoree on Channel One network telecasts and on the Contest Site (subject to the consent of the Honoree's parent or legal guardian).

8. General Conditions: The Contest is governed by the laws of the United States and New York. All applicable federal, state and local laws and regulations apply. The Contest is not to be used in connection with any form of gambling. The Award and titles and related prizing will only be delivered to addresses within the United States. All applicable taxes, fees, and surcharges on and in connection with the prize, including, but not limited to, income taxes, sales taxes, federal, state, or local taxes, are the sole responsibility of the Winner. Failure to comply with the official rules may result in forfeiture of the Award, prize or title. If an Award, prize or title is forfeited, an alternate Nominee may be selected from among the remaining eligible Nominees based on the Judging Criteria. No more than the advertised number of Award, prizes and titles will be awarded. In the event a claim or dispute arises, in no event shall a Nominator or Nominee (or Nominee's parent or legal guardian if any Nominee is a minor) be entitled to equitable or injunctive relief and its sole remedy shall be in an action at law for damages.

Each Nominator warrants and represents that, to his/her knowledge, there is no restriction or eligibility limitation that would prevent or restrict the nomination of a Nominee and that such nomination is made in good faith. Sponsor shall have the right to revoke an Award (and related prize) or title if, in Sponsor's sole determination, (i) information ascertained or discovered by Sponsor or (ii) information relied upon by Sponsor in determining a winner and later shown to be false, misleading or fraudulent, makes the Winner and/or Honoree unsuitable or ineligible to receive such Award, prize or title. Except where prohibited by law, the Winner and Honorees grant (and agree to confirm that grant in writing) permission for Sponsor and its advertising and promotional agencies, and those acting under their authority to use such Winner's and Honorees' names, photographs, voices, images, biographical information, and/or likenesses, and/or Nominations, for use in any and all media and formats now known or hereafter discovered throughout the Universe in perpetuity, without notice, review, approval, or additional compensation, including but not limited to promotional, advertising and/or publicity purposes in connection with the Contest or Sponsor's business activities. Nominators and Nominees (each a "Participant") further agree (and parent/legal guardian if Participant is a minor) that the Contest Entities and their respective officers, directors, agents, shareholders and employees (collectively, "Released Parties") will have no liability whatsoever for, and shall be forever and irrevocably held harmless by Participants (and parent/legal guardian if Participant is an eligible minor) against, any and all liability for any injuries, loss or damage of any kind to persons, including death, or property damage resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the Award or title, other Contest prize, participation in this Contest, or while traveling to, preparing for or participating in any Contest activity or a Released Party's use of the rights granted herein. Released Parties expressly disclaim any responsibility or liability for injury or loss to any person or property in connection with the delivery and/or subsequent use of the Award, prize or title (including any travel or activity-related thereto). Released Parties make no representation or warranty concerning the appearance, safety or performance of the Award, title or other Contest prizing which are provided as-is. Restrictions, conditions, and limitations apply. Released Parties will not replace any lost or stolen Award, title or Contest prize.

9. Conduct: These official rules will be posted at the Contest Site throughout the Contest Period. Sponsor reserves the right at each of its sole discretion to disqualify a Participant if it finds that Participant, or an individual acting with the approval of or in concert with a Participant, to be tampering with the entry or the operation of any of the Contest or any website; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person and void all associated Entries. CAUTION: ANY DELIBERATE ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES ANY OTHER REMEDIES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitations of Liability: Released Parties are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error, which may occur in the processing of nominations in the Contest. Released Parties assume no responsibility for any misdirected, garbled, stolen, incomplete, inaccurate, delayed, late or lost emails, nominations, mail or Award or Title notifications, misdirected, late, lost, stolen or damaged prizing, or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, nominations or votes. Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the Award or Titles, . Released Parties are also not responsible for any injury or damage to Participant's or to any other person's computer related to or resulting from participating or downloading materials in the Contest. If, for any reason, the Contest is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupts or affect the administration, security, fairness, integrity or proper conduct of the Contest, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest, and if terminated, at Sponsor's discretion, determine the Winners and the Honorees using the applicable winner determination procedure set forth herein. In the event of a dispute concerning who registered online to participate in the Contest, the registration will be declared to have been made by the authorized account holder or the email address submitted at the time of registration and such person must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned to an email address by an internet provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. A registrant may be requested to provide Sponsor with proof that the Nominator is the authorized account holder of the email address. If a dispute cannot be resolved to Sponsor's satisfaction, the Entry may be deemed ineligible.
